These Terms and Conditions regulate the facilitation services provided by Yourservices.ie to you. They are supplementary to the periodic website terms of use that are applicable to your use of the Website (as defined below).
Before using our Website, carefully review these Terms and Conditions. By utilizing our Website and the Facilitation Services, you affirmatively acknowledge your acceptance of these Terms and Conditions and your commitment to adhere to them. If you do not agree to these Terms and Conditions, kindly exit our Website and discontinue using the Facilitation Services immediately.

1. Definitions and Interpretation
​ 1.1. In these Terms and Conditions, the following words and expressions have the following meanings:
“Request” a request made by a Customer as specified in clause 2.2;
“Customer” / “you” businesses and consumers seeking a Professional through the use of the Website to provide the professional service they require; “Customer Contract” the contract between the Professional and the Customer for the provision of the Services; “Facilitation Services” provided by Yourservices.ie, as outlined in clause 2.4, offering a Professional's contact details;
“Professional” an individual offering professional services to Customers; “Services” professional services provided by a Professional to a Customer;
“Website” refers to www.yourservices.ie.
1.2. All headings are for ease of reference only and will not affect the construction or interpretation of these Terms and Conditions.
1.3. References to a “person” include any individual, body corporate, association, partnership, firm, trust, organization, joint venture, government, local or municipal authority, governmental or supra-governmental agency or department, state or agency of state, or any other entity (whether or not having separate legal personality).
1.4. References to any legislation or legislative provision will include any subordinate legislation made under it and will be construed as references to such legislation, legislative provision, and/or subordinate legislation as modified, amended, extended, consolidated, re-enacted, and/or replaced and in force from time to time.
1.5. Any words following the words “include,” “includes,” “including,” “in particular,” or any similar words or expressions will be construed without limitation. Accordingly, they will not limit the meaning of the words preceding them, and the ejusdem generis rule will not apply.
2.Facilitation Services
2.1. Yourservices.ie operates the Website, established to facilitate connections between potential customers and professionals for a wide range of services. Your use of the Website is subject to our distinct website terms of use.
2.2. Users can explore the Website to discover potential professionals, and the Website algorithms assist in identifying professionals who may meet the customer's needs. We refer to customer requests as "Requests," and each Request will lead to us connecting you with professionals who may fulfill the criteria provided.
2.3. To utilize the Facilitation Services, you must accept these Terms and Conditions according to the instructions on the Website, forming a contract between you and us for the provision of the Facilitation Services. You will need a separate contract with any professionals you choose to instruct for services. Refer below for more details.
2.4. Upon submitting your Request, you will receive details of professionals who may meet your criteria. Up to five professionals will contact you directly, and you can choose to contact them yourself. If we cannot identify professionals meeting your criteria, you will be notified, with an opportunity to expand your requirements.
2.5. You have the right to review the information from professionals and decide whether to engage a professional for the required services. We do not endorse or confirm that professionals identified through our Facilitation Service can fulfill your requirements. It is your sole responsibility to engage with the professional to ensure they meet your needs before entering into a Customer Contract. If you engage a professional, you become their customer under a Customer Contract. Services are provided by the professional, not by Yourservices.ie.
2.6. Yourservices.ie will provide a link from the Website to the professional's own website (if applicable) and enable customers to review a professional's performance on the Website for other prospective customers.
2.7. Reviews should be honest, based on personal experience, and free from racist, sexist, offensive, condescending, copyrighted, unlawful, or inaccurate content. Non-compliant reviews may be remove

Important: Yourservices.ie acts solely as a facilitator for the introductions mentioned above, and any services provided by a professional to a customer are governed by a separate legal contract. For any issues with service performance, legal rights of redress are against the professional, not Yourservices.ie.
3. Terminating Our Agreement
3.1 You have the option to terminate our contract at any time by discontinuing the use of the Facilitation Services. If you've established a customer account on the Website, please reach out to us via email, phone, or post using the provided contact details above.

5.Liability
5.1. As outlined in Clause 2 above, you acknowledge that the contract for the provision of the Services rests between you and the Professional. Consequently, the Professional is accountable for delivering the Services to you. yourservices.ie bears no liability to you whatsoever concerning the provision of the Services or your interactions with any Professionals listed on the Website.
5.2. Nothing in these Terms and Conditions restricts or excludes our liability to you for:
5.2.1. death or personal injury resulting from negligence;
5.2.2. fraud or fraudulent misrepresentation; or
5.2.3. any other matter for which we are not permitted by law to exclude or limit our liability.
5.3. We assume no liability for the information contained on any third-party websites linked to on our Website, and we will not be liable for any loss or damage that may arise from your use of them.
If you are an individual consumer
5.5. Please note that we provide Facilitation Services exclusively to consumers for domestic and private use. You agree not to use the Facilitation Service for any commercial or business purposes, and we disclaim any liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
If you are a business customer
5.6. We exclude all conditions, warranties, representations, or other terms that may apply to this website or any content on it, whether express or implied.
5.7. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with the Facilitation Services. In particular, we will not be liable for:
5.7.1. loss of profits, sales, business, or revenue;
5.7.2. business interruption;
5.7.3. loss of anticipated savings;
5.7.4. loss of business opportunity, goodwill, or reputation; or
5.7.5. any indirect or consequential loss or damage.
6.General Provisions
6.1. We periodically update these Terms and Conditions. Therefore, upon returning to our Website, it is advisable to check for any changes, as these modifications will be binding on you.
6.2. We reserve the right to transfer our contract to another organization, including the transfer of our rights and obligations under these Terms and Conditions.
6.3. Transferring your rights to someone else requires our explicit consent.
6.4. This contract is exclusively between you and us. No other person holds the rights to enforce any of its terms.
6.5. If any part of this contract is deemed illegal by a court, the remaining portions will continue in force. Each paragraph of these Terms and Conditions operates independently, and if any court or relevant authority determines any of them to be unlawful, the remaining paragraphs will remain fully effective.
6.6. Delay in enforcing these Terms and Conditions does not waive our right to enforce them later. Our failure to insist immediately on your compliance with these Terms and Conditions or any delay in taking steps against you for breaking this contract does not relieve you of your obligations. It does not prevent us from taking action against you at a later date.
If you are an individual consumer
6.7. Governing laws and legal proceedings: These Terms and Conditions are governed by English law. Legal proceedings can be initiated in the English courts. If you reside in Scotland, legal proceedings can be initiated in either the Scottish or English courts. If you reside in Northern Ireland, legal proceedings can be initiated in either the Northern Irish or English courts.
If you are a business customer
6.8. For business users, these Terms of Use (including any non-contractual obligations arising out of or in connection with them) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any disputes arising out of or in connection with these terms, including non-contractual obligations.
Terms & Conditions for Professionals
1. Definitions and Interpretation for Professionals
1.1. In these Terms and Conditions, the following words and expressions carry the following meanings:
“request” - a request from a Prospective Customer as referred to in clause 2.3 below;
“servicepoint” - the credits purchased by a Professional as set out in Schedule 1, which entitles the Professional to access relevant services;
“Customer” - a Prospective Customer who chooses a Professional to provide services to them;
“Customer Contract” - the contract between the Professional and the Customer for the provision of the Services;
“Fees” - the fees payable by you as set out in Schedule 1;
“Facilitation Services” - the provision by yourservices.ie, of a Prospective Customer’s contact details to a Professional, in exchange for Credits, so that they become a Contact, as set out in clause 2.4;
“Contact” - a Prospective Customer, whose contact details have been provided to a Professional, as part of the Facilitation Services;
“Prospective Customers” - businesses and consumers who use the Website to find a Professional who can provide the professional services they require;
the “Services” - the professional services provided by a Professional to a Customer;
“us” / “we” / “Yourservices.ie” - yourservices.ie, registered by Etkin Ozkalan, address 32 Skelligs Court, Waterville, Dublin 15, Dublin, Ireland;
“Website” - www.yourservices.ie
“you / the Professional” - the person offering their professional services to Prospective Customers;
“servicepoint Subscription” - a subscription to receive a fixed number of Credits each month in return for a recurring monthly payment.

1.6. References to “in writing” or “written” include e-mail.
2. Yourservices.ie’s Contractual Model & Description of the Facilitation Service
2.1. Upon your acceptance of these Terms and Conditions and in exchange for the Fees, Yourservices.ie will periodically provide you with contact details, as more particularly described below.
2.2. Yourservices.ie operates the Website to facilitate the provision of potential customers’ contact details to professionals for a wide range of services.
2.3. Prospective Customers can search the Website to find potential professionals to meet their requirements, termed as “Requests”. Each Request provides details about the Prospective Customer’s needs.
2.4. By accepting these Terms and Conditions, you agree to register as a “Professional” on the Website, granting you the right to access relevant Requests in exchange for Credits. If you redeem Credits in response to a particular Request, Yourservices.ie will share with you the contact details provided by Prospective Customers, now known as Contacts, so that you can get in touch with them. The Prospective Customer will be entitled to review any responses they receive from you and other Professionals, deciding whether to enter into a separate contract with you or another Professional. If engaged, the Prospective Customer becomes your Customer. Clarification: A Customer is a customer of the Professional, not of Yourservices.ie.
2.5. After a Professional’s registration, Yourservices.ie shall provide a link from the Website to the Professional’s own website, with a facility for Customers to review the Professional’s performance. Reviews are the Customers’ opinions, and Yourservices.ie is not liable to you for the content. You must ensure your linked website complies with all applicable laws.
Important: Yourservices.ie acts only as a facilitator for the Contacts referred to above, and the provision of any services by a Professional (including your Services) to a Customer will be subject to an entirely separate legal contract. If there are any issues with the performance of those Services by you, the Customer will have legal rights of redress against you, as the Professional, directly.
3. Quality of the Facilitation Services
3.1. Yourservices.ie will provide the Facilitation Services with reasonable care and skill. The timing of providing Contacts will not be crucial unless explicitly stated otherwise on the Website within a specified timeframe.
3.2. Regarding Yourservices.ie's performance of the Facilitation Services, unless expressly mentioned otherwise in these Terms and Conditions, all implied warranties, conditions, and other terms (whether by statute, common law, or otherwise) are excluded.
3.3. Differing from other service providers in the market, the Facilitation Services do not guarantee your success in being hired by a Prospective Customer. Our role is to provide you with the opportunity to contact a Prospective Customer. If you do not secure a job with a Prospective Customer who issued a Request on our Website, you will not be entitled to any Credit refund from us. Refer to Section 6 below for more details on our Credit refund policy.
4. The Professional’s Obligations
4.1. You guarantee to Yourservices.ie that the Services you offer to your Customers will be carried out by you or anyone representing you with due care, diligence, integrity, and to a reasonable standard of quality in all circumstances. You shall consistently comply with all applicable laws, guidance, and regulations related to the provision of your Services to Customers, including, but not limited to, those concerning data privacy, consumer law, and health & safety.
4.2. You agree to:
(a) Cooperate with us in all matters concerning the Facilitation Services.
(b) Provide, in a timely manner, any information we may reasonably request, ensuring its accuracy and completeness.
(c) Adhere at all times to our Website Terms of Use.
(d) Comply with all policies and requirements specified on the Website, as updated by us from time to time.
(e) Adhere to any vetting requirements imposed by us from time to time.
(f) Clearly communicate to Customers that any Services provided are by you and not by Yourservices.ie.
6. Refunding Servicepoints
6.1. All Credits purchased are non-refundable except as provided for in paragraph 6.2 below. For example, we will not offer a return of Credits if the Contact(s) we provide you with are correct, but the Prospective Customer chooses not to respond to your introduction, or if you do not secure the job with the Prospective Customer. There may be cases where a Prospective Customer decides not to choose any of the professionals we introduce them to, and this is entirely at the discretion of the Prospective Customer. In these instances, no refund of Credits would apply.
6.2. You will only be entitled to a refund of Credits if: (a) A phone number provided to you is invalid, for example if it says “calls are not being connected to this number”; or (b) an email address provided to you by us isn’t functioning and you receive a bounce-back when using the email address; or (c) we can verify that the contact details provided are not for the person submitting the request.
6.3. Where you are entitled to receive a refund of Credits in accordance with clause 6.2 above, you acknowledge that you will not receive a monetary refund for those Credits, and we will instead reinstate those refundable Credits onto your Yourservices.ie account.
7. Intellectual Property Rights
The property and any copyright design rights or other intellectual property rights in any material, data, or other information provided to you by Yourservices.ie, including all information and content on the Website (subject to any such rights of any third party), belong (or continue to belong) to Yourservices.ie.

9. Liability
9.1. As provided for in Clause 2 above, you acknowledge that you remain contractually liable to Customers for the provision of the Services, but you acknowledge that Yourservices.ie may suffer reputational damage if you do not perform your contractual obligations under Customer Contracts properly. You hereby agree to indemnify Yourservices.ie in full against all losses (including all direct, indirect, and consequential losses), liabilities, costs, damages, and expenses that we do or will incur or suffer, all claims or proceedings made, brought, or threatened against Yourservices.ie by any person (including, without limitation Customers), and all losses, liabilities, costs (on a full indemnity basis), damages, and expenses we do or will incur or suffer as a result of defending or settling any such actual or threatened claim or proceeding, in each case arising out of or in connection with your breach of your obligations set out in Clause 2 above.
9.2. Subject to Clause 9.4 below, Yourservices.ie’s maximum aggregate liability under these Terms and Conditions will be limited to the Value of Credits purchased in the preceding twelve-month period.
9.3. Subject to Clause 9.4 below, Yourservices.ie will have no liability to you for any: (a) loss of profit, loss of sales or business (in each case whether direct, indirect, or consequential); (b) loss of or damage to goodwill, loss of reputation, or loss of opportunity (in each case whether direct, indirect, or consequential); (c) any liability you may owe to any third party, including, but not limited to, a Customer (in each case whether direct, indirect, or consequential); (d) loss of use or value of any data or software (in each case whether direct, indirect, or consequential); (e) indirect or consequential loss.
9.4. Nothing in these Terms and Conditions will operate to exclude or restrict any liability of either you or us: (a) that cannot be excluded or restricted in these Terms and Conditions in respect of death or personal injury resulting from negligence; (b) for its fraud or fraudulent misrepresentation or fraud or fraudulent misrepresentation by a person for whom it is vicariously liable; or (c) for any matter for which it is not permitted by law to exclude or limit, or to attempt to exclude or limit, its liability.
10. Information & Confidentiality
10.1. Any information provided by Yourservices.ie or concerning Yourservices.ie’s affairs shall be kept confidential by you, and all information provided by you which is so designated by you shall be kept confidential by Yourservices.ie; but the foregoing shall not apply to any documents or other materials, data, or other information which enter the public domain (other than by breach of this Clause 10.1, or where any disclosure is required by law or regulatory authority.)
10.2. Neither party shall use the other’s name, trademarks, service marks, or logos for any promotional or publicity purposes without the express written consent of the other.
11. Termination
11.1. Without affecting any other right or remedy available to us, Yourservices.ie may withdraw your registration as a Professional on the Website with immediate effect by giving you notice if: (a) you fail to pay any sums due to us during the Term; (b) if you fail to comply with your obligations in Clause 4 relating to your performance of the Services Contract with your Customers; (c) if you receive a disproportionate number of complaints and/or bad reviews on the Website from Customers and/or Prospective Customers regarding your Services and/or dealings with customers more generally; (d) if, in our absolute discretion, we consider your registration as a Professional on the Website to be detrimental or potentially detrimental to the reputation of Yourservices.ie; (e) you are subject to an investigation by a competent regulatory authority, including without limitation, the Information Commissioner, the Competition and Markets Authority or Trading Standards.
11.2. Without affecting any other right or remedy available to either of us, either you or we may withdraw your registration as a Professional on the Website with immediate effect by giving written notice to the other if: (a) the other party commits a material breach of any term of these Terms and Conditions; (b) the other party takes any step or action in connection with its entering administration, provisional liquidation, or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up, having a receiver appointed to any of its assets, or ceasing to carry on its business; (c) the other party suspends, or threatens to suspend or cease or threatens to cease to carry on all or a substantial part of its business or (d) the other party’s financial position deteriorates to such an extent that it, in the terminating party’s opinion, the other party’s capability to adequately fulfill its obligations under these Terms and Conditions has been placed in jeopardy.

12. General Provisions
12.1. These Terms and Conditions are personal to you, and you will not assign or transfer or subcontract any of your rights or obligations without our prior written consent.
12.2. Any notice required or permitted to be given by either party to the other under these Terms and Conditions is to be in writing addressed to the other party at its trading address or such other address as may at the relevant time have been notified to the other party.
12.3. Nothing in these Terms and Conditions is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, constitute one party the agent of the other party, or authorize a party to make or enter into any commitments for or on behalf of the other party. The parties acknowledge and agree that each of them is an independent contractor, and nothing in these Terms and Conditions shall render either party (nor any staff of a party) an employee of the other.
12.4. If any provision of these Terms and Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the remainder of the provisions in question shall not be affected.
12.5. These Terms and Conditions will be governed by English and Welsh law and shall be subject to the exclusive jurisdiction of the English and Welsh courts.​
